1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (either an individual or an entity, “Customer”, “you”) and VAT Tools (“we”, “us”, “our”) governing your access to and use of the VAT Tools website, hosted applications, developer APIs, Model Context Protocol (MCP) servers, bulk verification pipelines, and interactive browser utilities (collectively, the “Services”).
By creating an account, accessing our APIs, or utilizing any of our tools, you agree to be bound by these Terms and our Privacy Policy. If you are agreeing to these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that entity.
2. Description of Services
VAT Tools provides source-linked European VAT verification, commercial register identity resolution, historical tax rate tracking, and client-side compliance utilities. Our platform retrieves, normalizes, and packages data from authoritative official registers (such as the European Commission VIES system and national business registries) with cryptographic and observational timestamps.
We provide access through web interfaces, batch CSV pipelines, and authenticated REST APIs. Certain interactive tools (such as our VAT calculator and invoice generator) operate client-side in your web browser.
3. Accounts & Organizations
To access workspace features, generate API developer keys, or run bulk verifications, you must register an account. You agree to provide accurate, complete information and maintain its accuracy. You are responsible for all activities that occur under your organization’s credentials and developer keys.
API developer keys must be kept secure. Never commit keys to public repositories or expose them in client-side applications. Notify us immediately at privacy@vat.tools if you suspect unauthorized access to your account or credentials.
4. Acceptable Use Policy
You agree not to use the Services to:
- Violate any applicable national, European Union, or international law or regulation.
- Circumvent rate limits, access controls, or environment boundaries (such as abusing sandbox quotas).
- Launch denial-of-service attacks or degrade the capacity of authoritative registry sources.
- Impersonate any person, business entity, or government agency.
- Resell raw registry outputs without providing substantial added value or analytical integration.
5. Evidence & Regulatory Disclaimer
VAT Tools provides automated data extraction, structure validation, and evidentiary snapshots from primary government sources. The Services are designed for operational productivity and record-keeping. They do not constitute formal legal, accounting, tax, or customs advice.
Official government registers (such as VIES, national commercial registers, and official gazettes) govern all legal determinations. While VAT Tools captures immutable observation evidence at the time of inquiry, registry availability, maintenance windows, and government data updates remain under the jurisdiction of the respective public authorities.
6. Subscriptions, Usage & Billing
Paid subscription tiers provide higher live check quotas, priority latency, dedicated MCP integrations, and expanded retention windows. Subscription fees are billed in advance on a recurring monthly or annual basis.
All fees are stated exclusive of value-added tax, which will be calculated and applied in accordance with your tax residency and validated VAT identification number. You may cancel your subscription at any time through the billing dashboard; cancellation takes effect at the end of the current billing cycle.
7. Intellectual Property
As between you and VAT Tools, VAT Tools owns all right, title, and interest in and to the Services, including software, algorithms, documentation, API designs, and brand marks. Public registry data and official legislative texts are sourced under open government data licenses (such as European Commission CC BY 4.0).
You retain full ownership of all query parameters, customer identifiers, and private business records processed through your account.
8. Limitation of Liability
To the maximum extent permitted by applicable law, VAT Tools shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or operational disruption resulting from your use of or inability to use the Services or from registry unavailability.
In no event shall VAT Tools’ total cumulative liability arising out of or related to these Terms exceed the amount paid by you to VAT Tools during the twelve (12) months preceding the event giving rise to liability.
9. Termination
You may terminate your account at any time by contacting support or deleting your organization in workspace settings. We reserve the right to suspend or terminate access for material breach of these Terms, security endangerment, or prolonged non-payment after reasonable notice.
